1. Who you are contracting with

Order Flow Simple is operated by XANA GROUP EE ("we", "us", "our"). By accessing or using Order Flow Simple (the "Service"), you ("you", "user") agree to these Terms & Conditions. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.

2. The Service

Order Flow Simple is a software product that helps businesses reorder products from suppliers. We may update, improve, or modify the Service from time to time.

3. Acceptable use

You agree not to:

• Use the Service for any unlawful, fraudulent, or abusive purpose.
• Send spam or infringe third-party intellectual property rights.
• Interfere with security, probe, scan, scrape, or distribute malware.
• Reverse engineer, resell, or circumvent technical limitations of the Service.

4. Accounts

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to provide accurate information and keep it up to date.

5. Intellectual property

We retain all rights, title, and interest in the Service, including its software, documentation, and branding. Subject to these terms, we grant you a limited, non-exclusive, non-transferable right to use the Service within your subscription plan.

6. Payments and subscriptions — Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Subscriptions renew automatically until cancelled.

7. Service availability

We work to keep the Service reliable but do not guarantee that it will be uninterrupted, error-free, or free from delays. To the fullest extent permitted by law, we disclaim all implied warranties.

8. Suspension and termination

We may suspend or terminate your access for: (a) material breach of these terms, (b) non-payment, (c) suspected security or fraud risk, or (d) repeated or serious violations of our policies.

9. Liability

To the fullest extent permitted by law, our aggregate liability arising out of or in connection with the Service is limited to the fees you paid in the 12 months preceding the event giving rise to the claim. We exclude liability for indirect, consequential, or special damages, including loss of profits, data, or goodwill. We do not exclude liability for fraud, death, or personal injury where prohibited by law.

10. Governing law

These terms are governed by the laws of Estonia, without regard to conflict-of-laws principles. Disputes will be resolved by the competent courts of Estonia, unless mandatory consumer law provides otherwise.

11. Changes

We may update these terms from time to time. Material changes will be notified through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance.
